Welcome to the Club Madeira Community Affiliate Program. These Terms of Service govern your participation in the Program. By joining or participating in the Program, you agree to be bound by these Terms. Please read them carefully.

1. Definitions

In these Terms:

• “Club Madeira” means Club Madeira Ltd, a company registered in England and Wales (Company No. 16541872), with its registered office at Ground Floor, Citygate, Longridge Road, Preston, Lancashire PR2 5BQ, United Kingdom.

• “You”, “Your”, “Affiliate” means the individual or entity participating in the Club Madeira Community Affiliate Program.

• “Program” means the Club Madeira Community Affiliate Program, through which you promote our products or services in exchange for commissions or rewards.

• “Affiliate Tools” means the tools, links, tracking codes, and promotional materials provided to you as part of the Program.

• “Services” means any systems, platforms, or services provided to support your participation in the Program.

2.  Eligibility

2.1  To participate in the Program, you must:

• Be at least 18 years old.

• Have a valid UK address or be a UK-registered business entity.

• Comply with all applicable laws, including UK tax laws and advertising regulations (e.g., ASA guidelines).

2.2  We reserve the right to reject or terminate your participation if you do not meet these criteria or breach these Terms.

3.  Fair Usage

3.1  You agree to use the Program and Services in a fair and lawful manner, including:

• Promoting our products or services honestly and transparently, without misleading or deceptive practices.

• Only using promotional materials and links provided or approved by us.

• Not engaging in spamming, unsolicited communications, or any activity that violates the UK GDPR or the Privacy and Electronic Communications Regulations 2003.

3.2  Prohibited activities include, but are not limited to:

• Using fraudulent methods to generate clicks, sales, or referrals (e.g., bots or fake accounts).

• Misrepresenting our products, services, or brand.

• Promoting our products on websites or platforms containing illegal, offensive, or inappropriate content.

3.3  We may monitor your activity to ensure compliance with these Terms and fair usage principles.

4.  Commissions and Payments

4.1  You may earn commissions or rewards based on valid referrals or sales generated through your affiliate links, as outlined in the commission structure provided to you during on boarding. This may be updated from time to time. You will be notified of any material changes.

4.2  Payments will be made monthly to your nominated UK bank account, provided you meet the minimum payment threshold of £50.

4.3  You are responsible for declaring and paying any applicable taxes on commissions earned, in accordance with HMRC regulations.

4.4  We reserve the right to withhold or reverse payments if we suspect fraudulent activity or breaches of these Terms.

5. Termination and Withdrawal

5.1  We may, at our sole discretion, suspend or terminate your access to the Program or Services at any time, with or without notice, for reasons including but not limited to:

• Breach of these Terms.

• Suspected fraudulent or unlawful activity.

• Damage to our reputation or brand.

• Changes to the Program or our business operations.

5.2  Where possible, we will provide reasonable notice before termination. You may contact us to appeal any decision you believe was made in error.

5.3  Upon termination, you must immediately cease using all Program materials, links, and Services. Any outstanding commissions may be withheld or forfeited if termination is due to a breach of these Terms.

5.4  You may terminate your participation in the Program at any time by notifying us in writing.

5.5 We are not liable for any losses you incur as a result of suspension or termination of your participation.

6. Intellectual Property

6.1  We grant you a limited, non-exclusive, revocable licence to use our approved promotional materials solely for the purpose of promoting our products or services within the Program.

6.2  You may not modify, copy, distribute, or create derivative works from our materials without prior written consent.

6.3  All intellectual property rights in our brand, logos, and materials remain our property.

6.4  You may not use the Club Madeira brand or trademarks in public statements or press releases without prior written approval.

7. Liability

7.1  The Program and Services are provided "as is", without warranties of any kind, express or implied.

7.2  To the fullest extent permitted by law, we are not liable for any indirect, consequential, or incidental losses (including loss of profits, data, or business opportunities) arising from your participation in the Program.

7.3  Our total liability to you under these Terms shall not exceed the total commissions paid to you in the 12 months preceding any claim.

8. Confidentiality

8.1  You agree not to disclose any confidential information provided by us (e.g., commission structures, business strategies, customer data) to third parties without our prior written consent.

8.2 This obligation survives termination of your participation in the Program.

9. Data Protection

9.1  Both parties shall comply with the UK GDPR and Data Protection Act 2018 in relation to any personal data processed as part of the Program.

9.2  You must not collect, store, or process the personal data of referred customers unless expressly authorised by us and in full compliance with applicable laws.

10. Governing Law and Jurisdiction

10.1  These Terms are governed by the laws of England and Wales.

10.2  Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

11.1  We may update these Terms at any time by posting the revised version on our website or notifying you directly.

11.2  Continued participation in the Program after such changes constitutes your acceptance of the updated Terms.

12. Force Majeure

12.1  We shall not be liable for any delay or failure to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, government restrictions, labour disputes, or internet service interruptions.
